IT Services, Products, and Payment Policy

Dear Client,

Thank you for choosing RBSC Associates as your IT and software solutions partner. This document outlines our policies regarding the delivery of services and products, handling of source code, data privacy, liability, service termination, and payment terms. Please read the following terms carefully, as they are legally binding once the agreement is signed or work is initiated.

Product Policy

• 1. Product Delivery: RBSC Associates will deliver the final software product, website, or digital solution as per the agreed terms. The source code or control panel (C-Panel) is not included unless explicitly stated in a separate agreement.
• 2. Source Code and C-Panel Access:

  III. RBSC Associates will not be responsible for the product once access is granted.
  IV. The source code must be used internally only by the client’s in-house team.
  V. The client must not share the code with any third party or competitor.
  VI. Misuse or breach will result in legal consequences.
• 3. Post-Delivery Modifications: All requests for additional features or updates after delivery will be billed separately based on scope and time.
• 4. Service Continuation: Continued services after project completion will be charged additionally based on requirements.
• 5. Business/Income Plan Changes: Mid-project changes to the business model or income plan will attract extra charges.
• 6. Product Integrity: RBSC Associates reserves the right to deny further changes if the codebase is modified by an external party.
• 7. Misuse of Services: Misuse or misrepresentation of our services will result in legal action, governed by the jurisdiction of Lucknow or applicable laws.

Data Protection & Privacy

• While RBSC Associates takes all reasonable measures to secure client data, absolute protection cannot be guaranteed due to the nature of digital systems.
  By using our services, clients accept that some processes may be handled via trusted third-party platforms.

Limitation of Liability

• RBSC Associates is not liable for:
  - Data loss, downtime, or hacking incidents.
  - Any damages—direct or indirect—resulting from the use of our services.
  - Interruptions due to scheduled maintenance or external threats.

Termination of Services

• We reserve the right to suspend or terminate services if:
  - A client breaches any term of this policy.
  - Fraudulent or unethical activity is suspected.
  - Services are used for unlawful purposes.

Payment Policy

• 1. Advance Payment: A 40% upfront payment is required to initiate the project, confirming agreement to all terms.
• 2. Progress Payment: 30% is due when half the project timeline is reached.
• 3. Final Payment: The remaining 30% must be paid before final delivery.
• 4. Refund Policy: All payments are non-refundable once the project has begun. No exceptions are granted for early cancellation.
• 5. Payment for Modifications: Any post-delivery changes will be charged separately.
• 6. Taxes: GST (18%) and applicable taxes are excluded from base prices and will be added to the invoice.
• 7. Additional Requests: Any new features not in the original scope will incur extra charges.
• 8. Late Payment: In case of delays, RBSC Associates may halt work until dues are cleared.
• 9. Penalties: Delayed payments may attract a 2% monthly penalty on pending dues.
• 10. Non-Refundable Deposits: Deposits are non-refundable unless no work has started and both parties mutually agree.
• 11. Payment for Source Code: Post-project source code access costs four times the total project value and must be paid in full before transfer.
• 12. Legal Compliance: All disputes will be handled under Lucknow’s legal jurisdiction or applicable Indian law.
